Terms of Service

These Terms of Service ("Terms") govern the use of services provided by AG Web Studios ApS ("AG Web Studios", "we", "us", or "our").

These Terms apply to business customers only.

By accessing or using our services, you agree to be bound by these Terms.

1. Scope of Services

AG Web Studios provides:

• Web development and related professional services
• A client dashboard (dashboard.agweb.studio)
• Subscription billing and invoicing systems
• Software licensing and license enforcement mechanisms
• Related hosting or operational services where agreed

The exact scope, pricing, and deliverables may be defined in a separate written agreement, project contract, Statement of Work (SOW), or order confirmation.

In case of conflict, a signed project contract or SOW shall prevail over these Terms.

2. Accounts and Organizational Responsibility

An organization account is created for each client.

The organization is responsible for:

• All activity under its account
• Managing user access and roles
• Ensuring that login credentials are kept secure
• Promptly removing access for former employees

We are not liable for misuse of access granted by the organization.

3. Subscriptions and Payment Terms

3.1 Billing Intervals

Subscriptions may be billed:

• Weekly
• Monthly
• Quarterly
• Annually
• Or according to custom intervals agreed in writing

All subscriptions are billed in advance unless otherwise agreed.

3.2 Automatic Renewal

Subscriptions renew automatically at the end of each billing period unless canceled before the renewal date.

By subscribing, you authorize recurring billing through the selected payment method.

3.3 Manual Invoices

Where billing is handled via manual invoice:

• Payment is due within 8 or 14 days unless otherwise stated on the invoice.
• Late payments may incur statutory interest and collection fees in accordance with Danish law.

3.4 Failed Payments

If a recurring payment fails:

• We may retry the charge through the payment provider.
• Access may be suspended after a reasonable grace period.
• Continued non-payment may result in termination of the service.

3.5 Price Adjustments

We may adjust pricing with at least 30 days' prior notice.

Continued use after the effective date constitutes acceptance of the new pricing.

3.6 Taxes

All fees are exclusive of VAT unless explicitly stated otherwise.

4. Refund Policy

All fees are non-refundable except where required by mandatory law or where explicitly agreed in writing.

Cancellation does not entitle the client to prorated refunds for the current billing period.

5. Cancellation and Termination

5.1 Cancellation by Client

Clients may cancel at any time.

Access continues until the end of the paid billing period.

5.2 Suspension or Termination by AG Web Studios

We may suspend or terminate access if:

• Payment is not received
• These Terms are breached
• License abuse is detected
• Fraudulent or unlawful conduct occurs

6. Data Handling Upon Termination

Upon termination:

• Access to the dashboard may be revoked.
• Client data may remain accessible for a limited grace period for export purposes.
• Accounting records will be retained as required by Danish bookkeeping law (minimum 5 years).
• Backup and audit logs may be retained for security and legal compliance purposes.

We are not obligated to retain client data indefinitely after termination.

7. Data Protection and GDPR

AG Web Studios acts as data controller for client account, billing, and service management data.

If, in connection with a specific project, we process personal data on behalf of the client, a separate Data Processing Agreement (DPA) will apply in accordance with GDPR Article 28.

Our Privacy Policy describes how personal data is processed.

8. License Terms and Enforcement

Where services include license-based software:

• Licenses are non-exclusive, revocable, and non-transferable.
• License keys may not be shared or resold.
• We may collect limited telemetry necessary for validation and abuse prevention.
• Misuse may result in suspension or revocation of licenses.

9. Acceptable Use

Clients may not:

• Use the services for unlawful purposes
• Attempt to bypass security or license enforcement mechanisms
• Reverse engineer protected systems
• Conduct unauthorized automated access or testing

Violation may result in immediate suspension.

10. Intellectual Property

All intellectual property rights in the dashboard, licensing systems, and underlying code and infrastructure remain the property of AG Web Studios unless otherwise agreed in writing.

Clients receive a limited right to use the services during the active subscription period.

11. Service Availability

Services are provided "as is" and "as available".

We do not guarantee uninterrupted operation.

We are not liable for downtime caused by third-party providers including payment processors, hosting providers, or internet infrastructure.

12. Limitation of Liability

12.1 Exclusion of Certain Damages

To the maximum extent permitted by applicable law, AG Web Studios shall not be liable for:

• Indirect, incidental, consequential, or special damages
• Loss of profit, revenue, business opportunity, goodwill, or anticipated savings
• Loss, corruption, or inaccuracy of data
• Costs of substitute services
• Business interruption
• Claims arising from third-party services or infrastructure

This applies regardless of the legal theory under which the claim is brought, whether in contract, tort, or otherwise.

12.2 Aggregate Liability Cap

AG Web Studios' total aggregate liability arising out of or in connection with the services shall not exceed the total fees paid by the client to AG Web Studios in the six (6) months preceding the event giving rise to the claim.

If the client has used the services for less than six months, liability shall not exceed the total fees paid during that period.

12.3 Third-Party Services

The services rely on third-party providers, including but not limited to payment processors, hosting providers, and authentication services.

AG Web Studios is not liable for damages or losses caused by failures, downtime, security incidents, or errors originating from such third-party providers.

12.4 License Enforcement and Suspension

AG Web Studios shall not be liable for damages resulting from suspension of access due to non-payment, enforcement of license restrictions, or actions taken in good faith to prevent abuse, fraud, or security risks.

12.5 Client Responsibility for Data

The client is responsible for maintaining appropriate backups of any data necessary for its business operations.

AG Web Studios does not guarantee permanent storage of client data beyond what is required for service delivery or legal compliance.

12.6 Non-Excludable Liability

Nothing in these Terms excludes or limits liability for intentional misconduct, gross negligence, or liability that cannot be excluded under mandatory Danish law.

13. Indemnification

The client agrees to indemnify AG Web Studios against claims arising from misuse of the services, violation of these Terms, or unauthorized activities under the organization account.

14. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including infrastructure failures, cyber incidents, government action, or natural disasters.

15. Assignment

We may assign these Terms in connection with corporate restructuring or sale of the business.

The client may not assign rights without written consent.

16. Severability

If any provision is deemed invalid, the remaining provisions remain in effect.

17. Waiver

Failure to enforce any provision does not constitute a waiver.

18. Entire Agreement

These Terms, together with any applicable project agreements and the Privacy Policy, constitute the entire agreement between the parties regarding the services.

19. Governing Law and Jurisdiction

These Terms are governed by Danish law.

Any disputes shall be resolved in the courts of Denmark.

20. Changes to These Terms

We may update these Terms with at least 30 days' notice for material changes.

Continued use after the effective date constitutes acceptance.

21. Acceptance

By creating an account or using the services, you confirm acceptance of these Terms.

We may store the following as evidence of acceptance:

• Terms version
• Timestamp
• Organization identifier
• Accepting user identifier
